GROWTHY SAAS SOFTWARE LICENSE AGREEMENT

This Software-as-a-Service License Agreement ("Agreement") governs your use of the Growthy financial planning and bookkeeping platform ("Service") provided by Growthy, Inc. ("Company", "we", "us", or "our"). By creating an account or using our Service, you ("User", "you", or "your") agree to be bound by this Agreement.

1. LICENSE GRANT

Subject to your compliance with this Agreement, Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription period. This license is solely for your internal business financial planning and bookkeeping purposes.

2. SAAS PLATFORM ACCESS

The Service is provided as a Software-as-a-Service platform accessible via web browser at growthy.com. No software download or installation is required. Your access is limited to the features included in your selected subscription plan.

3. SUBSCRIPTION AND BILLING

  • Subscription Plans: Access is provided according to your selected subscription plan (monthly or annual)
  • Automatic Renewal: Subscriptions automatically renew unless cancelled through your account settings
  • Billing: Subscription fees are charged in advance according to your billing cycle
  • No Installation Fees: As a SaaS platform, no installation fees apply
  • Payment Processing: All payments are processed automatically through your selected payment method

4. RESTRICTIONS

You may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer, decompile, or attempt to extract source code
  • Resell, distribute, or sublicense access to the Service
  • Use the Service beyond the scope of your subscription plan
  • Access the Service for competitive analysis or to build competing products
  • Share your account credentials with users not included in your subscription

5. INTELLECTUAL PROPERTY

The Service and all related technology, including but not limited to software, algorithms, user interfaces, and content, are the exclusive property of Company. This Agreement does not transfer any ownership rights to you.

6. DATA AND PRIVACY

  • Your Data: You retain ownership of all data you input into the Service
  • Data Security: We implement industry-standard security measures to protect your data
  • Privacy: Your use of the Service is governed by our Privacy Policy
  • Data Portability: You may export your data at any time through account settings

7. SERVICE AVAILABILITY

  • Uptime: We strive to maintain 90%+ uptime but do not guarantee uninterrupted service
  • Maintenance: We may perform scheduled maintenance with advance notice
  • Updates: We regularly update the Service with new features and improvements at no additional cost

8. TERMINATION

  • By You: You may cancel your subscription at any time through account settings
  • By Us: We may terminate your access for violation of this Agreement or non-payment
  • Effect of Termination: Upon termination, your access to the Service will cease, but you may export your data for 30 days

9. WARRANTIES AND DISCLAIMERS

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. LIMITATION OF LIABILITY

IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. INDEMNIFICATION

You agree to indemnify and hold Company harmless from any claims, damages, or expenses arising from your use of the Service, violation of this Agreement, or infringement of third-party rights.

12. GOVERNING LAW

This Agreement is governed by the laws of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts of Delaware.

13. CHANGES TO AGREEMENT

We may modify this Agreement at any time by posting changes on our website. Your continued use of the Service after such changes constitutes acceptance of the modified Agreement.

15. ENTIRE AGREEMENT

This Agreement, together with our Terms of Use and Privacy Policy, constitutes the entire agreement between you and Company regarding the Service and supersedes all prior agreements and understandings.

NO SIGNATURE REQUIRED: This Agreement becomes effective upon your use of the Service. By creating an account or accessing the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
